Welcome to www.styletheloop.com, the premier destination for circular luxury fashion. Loop’s (“Loop” “we” us”) website (our “Site”) is dedicated to providing a seamless and enjoyable shopping experience for its users.

www.styletheloop.com is owned and operated by Loop Platform FZCO. Loop Platform FZCO is a limited liability company incorporated under the laws of the United Arab Emirates, with commercial license 6108 and its registered office at Dubai Silicon Oasis, DDP, Building A2, Dubai, United Arab Emirates.

The Terms of Use & Service and any other rules posted on our Site (collectively, the “TOS”) set out below govern the use of our website, mobile application and other services provided by Loop (collectively, our “Services”) to you (the “User” or “Users”). Before you use any of our Services, please read the documents that are relevant to you so that you understand the legal rights and obligations, as well as the conditions, limitations, and exclusions, that apply to you.

We may modify the TOS from time to time. Please read the TOS and check back often. If you do not agree to any change to the TOS then you must immediately stop using the Site. Any changes made after you have placed an order will not affect that order unless we are required to make the change by law.

Website Terms of Use

Please note that these terms apply to all Users, whether you register on our Site or create an account or not, and whether you buy or sell products or not.

1. Eligibility

We aim to make the Site and its associated services available to as many of you as possible. However, we do require that you are at least 18 years of age, able to lawfully: (i) make payment through one of our accepted tender types; (ii) agree to these TOS; and (ii) enter into binding orders with us. 

2. Account Registration

In order to access the functionalities of the Site, Users must create an account using their e-mail address and a password or using the Facebook or Google Connect functionality. The Users undertake to input accurate and up-to-date information as part of the account opening process. The Users are also responsible for maintaining the confidentiality of their accounts.

Opening an account is free of charge and there is no obligation to buy or sell anything on the Site. Users must be aged over 18 and must have full legal capacity to enter into a sale. Once registered, Users shall be able to access and use their accounts using their e-mail address and the password that they created upon registering on the Site. These identifiers, for which the Users shall be responsible for at all times, must be keyed in whenever opening a session and the Users must never disclose them to any third party nor let any third party use them. The Users undertake not to create or use any accounts other than the account that they shall have created initially, be it under their own identity or that of a third party. The Users undertake not to choose a user name that provides a means of identifying an ecommerce web site other than the Site. Should any User fail to comply with this prohibition, Loop shall be entitled to close that User’s account immediately. The Users undertake to inform Loop at the following email address customercare@styletheloop.com about any fraudulent use of their user name, their identifier and/or their password by a third party, as soon as they shall become aware of this. 

The Users undertake to compensate Loop should the latter suffer any damage or loss or incur any costs as a result of any other person accessing information in a User’s account on the Site, if the User involved authorised this use or was aware of it. 

Users should note that upon using the Facebook or Google Connect functionality to register on the Site, they shall be asked to permit Loop to access some information pertaining to their Facebook or Google accounts, including their family name and first name, their Facebook or Google identifier, their e-mail address, their gender, their date of birth, their profile photograph, their list of friends, and all other public information contained in their Facebook  or Google account. For more information, Users should refer to the Privacy Policy & Cookies of Loop. 

3. User Content

3.1 Creation of User Content

The User may create Product Pages (“Product Pages”) as well as Profile Data Sheets (“Profile Data Sheets”) and can also post comments about the Products that are put online by other Users (the “User Comments”). All of these elements created or posted by the Users shall be referred to as “User Content”. By uploading their Product Pages and/or of Profile Data Sheets, the Users authorise Loop and all its successors and assigns: 

- To affix, store, reproduce, disseminate and exploit any User Content, worldwide, and for the entire duration of the protection afforded to these elements, in all formats, by any means and on all media, such as on the Site and on its commercial documents, including the “Alerts” and “Newsletters”;

- To modify the presentation of the photographs of the Products, such as by resizing or cropping the photographs and removing the background of a Product so that it appears over a white background. Loop respects the intellectual property rights of others and accordingly prohibits the Users of the Site from disseminating, downloading, putting online or otherwise transmitting any element that infringes the intellectual property rights of a third party. The Users undertake to guarantee Loop and its senior officers, directors, servants, agents and suppliers against any claim, liability, damages, losses, costs and expenses, including the fees of lawyers and counsels up to a reasonable amount, that are incurred by Loop as part of or in connection with any claim brought by a third party over an infringement or violation of intellectual property rights by a User. More broadly speaking, the Users guarantee Loop against any claims raised by third parties in connection with the wording of their Product Pages and/or the description of the Products that they offer for sale on the Site.

3.2 No Monitoring of User Content by Loop

Loop has no control over and hereby disclaims liability for the accuracy or the correctness of any User Content or third party content; Loop shall not have any obligation to check the appropriateness of such content that is posted or downloaded on the Site. Loop shall act at all times merely as a host and hereby disclaims liability for the data or information that is uploaded by the Users, including any content that is put online or uploaded into a Product Page. Loop shall be entitled to remove any User Content in case of violation of the rights of a third party and/or of these TOS governing the use of the Site. Only the Users who post or send information to the Site shall be liable for this information, which shall not necessarily reflect the opinions or the principles of Loop. Loop therefore does not guarantee that this information shall be complete and accurate. Any decision by a User based on the information posted or uploaded by other Users shall be taken based on their judgement alone and their sole assessment under their sole responsibility.

3.3 Notification of Illicit Content or Infringement of Intellectual Property Rights

If you think that any content and/or a Product Page contains a defamatory or illegal message or that your intellectual property rights have been infringed by an article or any information featured on the Site, please notify this to Loop by emailing us on legal@styletheloop.com. It is the policy of Loop to respond as soon as possible to claims about infringements of intellectual property rights and to take action in response to any notifications of clear infringements of intellectual property rights. Should you have any claim or complaint regarding infringements of intellectual property rights, please send it to legal@styletheloop.com. 

4. Personal Data 

The Users must ensure that the data that they provide in the course of their registration is properly keyed in, truthful and accurate. Upon creation of a Profile Data Sheet or a Product Page, Users may post photographs representing them. By accepting these TOS, the Users hereby authorize Loop to use their image as part of the operation of the Site. This authorization is granted for the entire period during which a User shall have an account and/or a Profile Data Sheet on the Site. The Users may withdraw their authorization to use their image in accordance with the abovementioned terms and conditions, by e-mailing legal@styletheloop.com. The Users hereby guarantee that the photographs used as part of the creation of their Product Pages or of their Profile Data Sheet do not constitute an infringement of the image rights or the privacy of third parties.

5. Terms of Payment

We currently accept the following tender types for Orders placed on our Website: Visa, Mastercard, American Express, PayPal, Apple Pay and online credit. Payment will be taken at the time you place your Order. By entering payment details onto our Website, you warrant that you are duly authorized to pay using those details. We reserve the right to decline orders without liability to you where we believe payments are not authorized, the payment method is not valid or where we do not think you are authorized to use to utilize the relevant tender type. Cardholders must retain a copy of their transcation records and Merchant policies and rules.

Loop provides all possible payment options for our customer's convenience. For payments made via Credit Card, Debit Card or Apple Pay, we may request additional personal documents, such as a passport copy or ID card with photo, in order to confirm your order. This is required to verify the identity of the buyer and protect the cardholder against any possibility of fraudulent payments. Loop reserves the right to suspend or terminate the payment options available on your account and refuse any and all current or future use of the payment options available on the site (or any portion thereof) if it suspects there is fraudulent or suspicious activity. The Site is not liable or bound to inform or send specific communication to the user regarding the changes to your payment options on the website (or any portion thereof). It is the customer’s responsibility to get in touch with Loop in order to get the payment options reactivated.

PayPal Payments

Orders completed through PayPal will be redirected to a PayPal page.

6. Prices

Prices on the Site are displayed in AED by default, and exclude any services you may elect to pair the purchase with, delivery costs, taxes or duties to which the purchase may be subject. Any such additional costs will be displayed before your final check out.

Where you purchase using a payment card denominated in a different currency to AED, the payment will be subject to the currency exchange rate applied by your card issuer at the time your payment is completed.

The destination you ask us to deliver to, the items & services you select and the method of delivery you choose will dictate what delivery charges, taxes and duties apply (if any). 

Although we make every effort to ensure prices displayed on our Site and in our communications are correct, errors may occur. If an error occurs and your Order:

- Has already been processed, then we may at our discretion:

a. cancel the Order (or part thereof), arrange for collection of the mis-priced item(s) from your original Order delivery address and issue you a full refund including original Order delivery fees, taxes and duties (if applicable);

b. where the price you paid is lower than the actual price of the item, honor the price in your Order; or

c. where the price you paid is higher than the actual price of the item, refund you the difference;

- Has not yet been processed, then we will notify you as soon as possible and only process the Order (or part thereof) once you have confirmed you are happy to buy at the correct price or otherwise cancel the Order (or part thereof) and refund your payment in full.

7. Promotional Codes and Discount Schemes 

Promotional codes are valid only in accordance with their terms, until the date stated, can be used only once, are not redeemable for cash and cannot be used in conjunction with any other offer, sale or promotion. They are personal to you and cannot be transferred to third parties. 

8. Disputes and Governing Law

These TOS are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai and all disputes arising here under are subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. Further, we will not trade with or provide any services to OFAC (Office of Foreign Assets Control) and sanctioned countries in accordance with the law of UAE. 

Buyer Terms and Conditions

Please note that these terms apply to Users who use the Site to buy products:

9. The “Make an Offer” Functionality

The “Make an Offer” functionality enables Buyers to confidentially negotiate the Price of the Product by sending an offer to the Seller, who may either accept it or reject it. The price proposed as part of an offer cannot be less than 70% of the Price of the Product, nor higher than the Price of the Product.

10. Authentication Costs

The Authentication Costs levied by Loop shall correspond to the sum of money paid by the Buyer for each Transaction. The Authentication Costs shall be indicated prior to the confirmation of the Order. 

11.Delivery

11.1 Delivery Windows

Where Loop itself sells any Products on the Site, a delivery date shall be indicated to the Buyers when they place their Orders. Where Loop is merely acting as an intermediary on behalf of the Seller, the delivery date of the Product to the Buyer shall depend on the date on which Loop receives the Product that is sent to it by the Seller. Loop cannot therefore commit to a fixed delivery date, but the date on which the Product is dispatched shall be at most thirty (30) business days after date of the confirmation of the Order by the Buyer. If a Product is dispatched directly by the Seller, where this option is available, the delivery timescale shall be stated by the Seller. Should the Buyer purchase a Product that is marked “Express Delivery”, our team shall dispatch the item that is ordered within 24 working hours, to which one must then add the delivery timescale of the carrier.

11.2 Delivery and Customs Costs

We deliver products sold on our Site worldwide. The Order shall be delivered to the Buyer by a carrier approved by Loop and may be either through DHL, Aramex or Fedex depending on the destination country. The Carriage Costs shall be calculated based on the value of the Products ordered and shall vary depending on the country to which the Orders are to be delivered, save in case of unusual Products or Orders, which shall be subject to different Carriage Costs, that the Buyer shall be duly informed about at the time of placing their Order. The Carriage Costs may be modified in keeping with the rates charged by the carrier and shall be stated upon placing the Order. The Carriage Costs that are applicable to the Order shall be those that are specified just prior to the approval of the Order. Any customs duty shall be borne by the Buyer. For countries outside of the UAE, we are unable to estimate the amount of duties and taxes the Order will incur, as these charges are imposed directly by the Buyer’s local customs. Payment of these is necessary to release the Order from customs. For more information we recommend that Buyers contact their local customs office.

12. Consequences of an Impossibility to Deliver an Order

If it is impossible to deliver a Product to the Buyer, for instance if the address provided by the latter is incorrect or the parcel is sent back due to non-acceptance by the Buyer, an e-mail shall be sent and a phone call shall be made to the Buyer of the Product. Should there not be any reply, the Product(s) shall be kept at the disposal of the Buyer, at its own risk and expense (including storage and handling costs), for a timescale of six (6) months as of the sending of the follow-up e-mail by Loop. Should the Buyer wish to retrieve their Product, they must request this by means of an email sent to customercare@styletheloop.com. Should the Product not be claimed from Loop within the abovementioned timescale of six (6) months, Loop shall become the owner of the Product that shall not have been claimed. The Product shall then either be destroyed or donated to charity if its state allows for this, after a last attempt at contacting the Buyer that does not elicit a response within eight (8) days.

13. Claims and Returns

Unless as otherwise provided herein, Loop does not allow returns. Any issues regarding claims ought to be reported within three days after determined delivery of the item based off tracking information. Loop shall have final determination regarding the accuracy of item descriptions and has the sole authority to determine whether a refund is or is not warranted. Buyer and Seller understand and agree that they will abide by any final determinations made by Loop in respect to any such issues and returns. In the case of an eligible refund, this will be made onto the original mode of payment and will be processed within 10 - 45 days depending on the issuing bank of the credit card.

13.1 Non-receipt or Late Delivery of a Product

Should the Buyer not receive the Products within thirty (30) days following the date of the Order, or in the case where Loop is selling its own Products directly on the Site, should the Buyer not receive the Products on the delivery date stated upon placing the Order, the Buyer may cancel the Transaction by emailing our Customer Care team, provided that it shall first have summoned Loop, by the same means, to rectify the situation within a reasonable timescale and provided that delivery shall not have taken place within this additional timescale. Loop shall refund the Buyer within fourteen (14) business days following the date on which Loop receives the email with acknowledgement of receipt informing it about the cancellation of the Transaction. Should the Buyer receive the Products whereas they have already cancelled the Transaction, they must return the Products and Loop undertakes to refund the Price of the Products that are returned, the Authentication Costs, the Carriage Costs (in case of return of the Order as a whole) and the cost of returning the Product to Loop, within fourteen (14) business days following Loop’s receipt of the complete Products in their original condition. In case of cancellation, the Buyer shall be refunded in cash (the moneys being credited to the bank card that the Buyer used to make the payment or to the Buyer’s PayPal account) provided that, in each case, Loop does not suspect that the request for cancellation or for a refund due to total or partial non-receipt of a Product that was ordered was made fraudulently. In the case of a partial cancellation, only the part of the Order that is cancelled shall be refunded in keeping with the foregoing terms.

13.2 Detection of Non-compliance During the Quality Control Undertaken by Loop

The consequences of a Product’s non-compliance with the Product Page, as witnessed by Loop, shall depend on the type of non-compliance involved. If the Product that does not comply with its description in the corresponding Product Page is counterfeit or it is a Product whose sale is prohibited, Loop shall cancel the sale and shall refund the Buyer. Should the Product comply partly with its description, Loop may, at the Buyer’s discretion, either (i) negotiate with the Seller to secure a cut in the Price, or (ii) cancel the sale and refund the Buyer. Should the Buyer and the Seller agree over a Price cut, the latter may take the form of a credit note from Loop, a Purchase Voucher or a payment that is re-credited to the payment card or the PayPal account of the Buyer (as the case may be). Should the Buyer cancel their Order, they shall be refunded in cash by crediting the bank card used to make the initial payment, or by way of a payment into their PayPal account. In the case of a partial cancellation, only the part of the Order that is cancelled shall be refunded in keeping with the abovementioned terms.

Should the Buyer find that a Product does not comply with its description in the Product Page, the Buyer must contact Loop by e-mail within three (3) calendar days following the date on which they received the Product. The Buyer must explain in what way and to what extent the Product does not correspond to the Product Page and must provide photographs enabling their assertions to be substantiated. Should the claim of non-compliance of the Product with the Product Page appear justified at first sight based on the explanations of the Buyer and the photographs, Loop shall authorise the Buyer to send the Product back. Upon receipt of the Product, Loop shall inspect it to determine whether it is truly non-compliant with the Product Page. If the non-compliance is confirmed, Loop shall refund the Buyer. The refund shall take place by crediting the method of payment that was used by the Buyer to make the initial payment. All Products returned by Buyers due to non-compliance with the Product Page must be returned with the sealed form (label) initially affixed by Loop to the Product upon dispatching it. Should the Buyer receive a counterfeit Product or a Product whose sale is prohibited, they may return the Product to Loop and secure a refund, save in case of fraud on their part.

13.3 Returns to Loop

The Products should be returned to Loop as per the provided address in the corresponding emails related to the return. Loop disclaims any liability in case of loss or damage of a Product while in transit. Any Products that are returned due to a delay in delivery that gave rise to the cancellation of the initial Transaction, must be returned by recorded delivery with acknowledgement of receipt. Loop draws the Buyer’s attention to the fact that it must take particular care of the Products. Loop shall be entitled to reject a return of Products that are damaged or incomplete, or to refund the Buyer minus any moneys due as compensation for the damage caused to the Products (if the damage occurred after their delivery to the Buyer). Moreover, the Buyer shall be liable in case of depreciation of the value of the Products due to any handling thereof other than as required to ascertain the nature, the characteristics and the proper operation of these Products, any deliberate damage, any incident or negligence on the part of the Buyer or of a third party, any use of a Product that is non-compliant with its purpose, any failure to comply with the manufacturer’s guidelines or the instructions of Loop, or any modification or repair carried out without the prior agreement of Loop. Any Product that is returned in a such state that the cost of repair or cleaning is too high relative to the Price of the Product shall not be refunded and shall be kept at the disposal of the Buyer at its own risk for a period of up to six (6) months following Should Loop not receive a request from the Buyer to recover possession of its Products within six (6) months following receipt of the Products by Loop, Loop shall become the owner of the non-refundable or returned Products (as the case may be) that shall not have been claimed. These Products shall then either be destroyed or donated to charity, if their condition allows for this. In case of cancellation of an Order by the Buyer within the timescale for withdrawal from a sale, if the Order was paid for wholly or partly using Purchase Vouchers, the Purchase Vouchers used for this Order shall be re-credited to the Buyer’s account.

Seller Terms and Conditions

Please note that these terms apply to Users who use the Site to sell products:

14. Sales of Products

Within the scope of the online intermediation service performed by Loop, the Seller hereby grants Loop a mandate to do the following: - to publish on the Site the Product Page that constitutes an offer to sell a Product, including all the content included by the Seller, and where applicable, to make changes to the photographs of the Product, to the extent of removing their background; - to accept the order placed by the Buyer, for and on behalf of the Seller; - to open a separate account on the books of Loop, for and on behalf of the Seller, and to credit the Price of the Product into that account; and - to receive the moneys and to transfer them to the Seller, after subtracting the commission and any other sum of money due should any moneys remain outstanding between the parties, as stipulated by the TOS.

15. Creation of a Product Page

A Product Page must be drawn up for each Product that a User wishes to offer for sale. The Seller must accurately describe all of the characteristics of the Product and must mention its Price in the Product Page. The minimum Price of each Product shall be one hundred (100) United Arab Emirates Dirhams. The characteristics of the Product mentioned in the Product Page, and in particular the State of the Product, must match the characteristics declared by the Seller prior to verification by Loop. The Products that are offered for sale must be available for ordering by Buyers as long as the Product Page appears on the Site. A Seller may permanently remove a Product that is advertised for sale from the Site at any point in time, provided that this Product has not been ordered, by deleting the Product Page. The Seller undertakes to comprehensively, honestly and accurately describe the Product’s characteristics, its brand, and any faulty workmanship, damage or wear, or other attribute of the Product that a Buyer would reasonably want to know at the time of buying that Product. The Seller undertakes not to publish an altered depiction of the Product. Should a Product have undergone any visible alterations prior to being put up for sale (customisation, personalisation, etc.), the Seller undertakes to mention this expressly in the Product Page. Loop shall be entitled to accept or to reject a Seller’s Product Page prior to its being put online on the Site in order to ensure the coherence of the Products that are offered for sale on the Site. Should the Product Page be accepted, Loop shall send an e-mail to the Seller concerning the Price, stating the commission that it shall deduct from the Price.

16.Altering a Product Page

Sellers may add comments in the space earmarked for this purpose. They may also add additional photographs of a Product that is listed on the Site, after publication of the Product Page on the Site. Any addition of images shall be subject to validation by Loop. These alterations of the Product Page shall not apply to transactions that are under way (namely after a Buyer places an order for the Product). A Seller may lower the Price of a Product, in which case the Commission of Loop shall be adjusted in keeping with the Commissions Scale shown at the end of these T&Cs and the previous Price shall be shown crossed out on the Product Page. Loop may suggest that the Seller alter the Price of a Product in order to make it coherent with the prices of other Products listed on the Site and within the market’s expectations in general. The Sellers accordingly agree to discuss the Prices of their Products in good faith with Loop. Any alteration of a Price by Loop shall only become effective upon acceptance by the Seller. For the avoidance of doubt, the Price of a Product is determined by the Seller. Throughout the sale process, the Seller shall have full visibility over the Price and the corresponding Commission. Prior to advertising their Products for sale on the Site or lowering the Price of a Product, the Sellers must confirm, each time, that they accept the Price and Loop’s Commission.

17.The “Make an Offer” Functionality

The “Make an Offer” functionality enables Buyers to confidentially negotiate the Price of the Product by sending an offer to the Seller, who may either accept it or reject it. The price proposed as part of an offer cannot be less than 70% of the Price of the Product, nor higher than the Price of the Product.

18.Assessing the Compliance of the Products

If, at the time of the compliance check performed by Loop in those cases where the latter is in charge of arranging delivery of the Products bought by the Buyers, Loop notices that the Product does not comply with the Product Page drawn up by the Seller (such as in terms of the condition of the Product), Loop undertakes, at the Buyer’s discretion, (i) to negotiate with the Seller and the Buyer to secure a reduction of the Price, or (ii) to cancel the Transaction and refund the Buyer. Should the Transaction be cancelled, and should the Seller wish to get their Product back, Loop shall bill the Seller a fixed fee of AED100 including tax per non-compliant and/or counterfeit item, corresponding to the minimum handling costs (the cost of sending the Product to Loop, the cost of removing the background from the photographs, the costs of sending the Product back to the Seller).

19.The Seller’s Commitments and Obligations

The Seller undertakes to sell only Products of which they are the sole owner, or in case of a sale on consignment of second-hand products, on behalf of a person who is the owner of the Products. The Seller hereby represents that they are not violating the prevailing laws and regulations in any way and are not infringing the rights of any third parties by submitting a Product Page to Loop or by offering a Product for sale via the Site. The Seller warrants, represents and undertakes (i) that the origin, the condition and the characteristics of the Product that they offer on the Site comply with that description of the Product on the corresponding Product Page, and (ii) that the Product that is offered for sale is not counterfeit. Should Loop request this, the Sellers must immediately provide it with all the documents proving their ownership of the Products that are offered for sale and/or the origin of these Products. Loop shall be entitled to delete the Profile and/or the Product Page of a Seller who fails to provide evidence to Loop of their ownership rights over the Product(s) that are offered for sale and/or of the origin of the Product(s). The Seller shall be barred from claiming any right to compensation if Loop deletes this information for the reasons mentioned above. The Seller shall be the only person responsible for the sale of a Product. The Seller shall refrain from selling any Product whose sale is prohibited or would violate the prevailing laws and regulations and/or infringe the rights of third parties. The Seller undertakes in particular not to sell prototypes (clothes or accessories that are created prior to production in series) or uniforms (clothes or accessories designed for use by the employees of certain brands) or Products that were included in “sales to employees” or “press sales” and whose resale is not authorised, bearing in mind that Loop shall be unable to check whether such a prohibition is applicable. Should Loop learn that any such Products are offered for sale on the Site, the Product Pages of the Products involved and/or the Profiles of their Sellers might be deleted as of right, and the latter shall not be able to claim any right to compensation. Once a Seller’s Product Page has been put online, the Seller must access their account regularly in order to take stock of all pending transactions and monitor them. Should the Seller be unable to connect and monitor their account during an extended period of time, they must inform Loop about an extended fulfilment timescale by emailing customercare@styletheloop.com.

20. Calculating Commissions

The services on offer by Loop shall be remunerated by a Commission that Loop shall deduct from the Price of the Product paid by the Buyer. Loop shall calculate this Commission using the Commission Scale shown at the end of these TOS, subject to any sales by Trade Sellers or sales of Products that are put back on sale, for which the principle of the fixed Commission described below shall not apply. The Commission taken by Loop shall correspond to the sum paid for each Transaction to Loop by the Buyers, in return for the intermediation services between Seller and Buyer, and where applicable for checking and dispatching the Products. This Commission shall be included in the sale Price of the Product as shown on the Site. This method of calculating the Commissions due shall apply to all the Products that are offered for sale on the Site. Please note that the adoption of a new Commission Scale shall not give rise to any refunds for Transactions that completed previously (for instance, if the Seller finds a difference between the Commission paid previously and the Commission based on the new Commissions Scale). 

21. Sales of Products and Payments Due to the Seller

The Seller acknowledges being aware that the information concerning the Order placed by the Buyer shall be processed automatically by our partner in charge of fraud prevention, the aim of this automated processing of data being to prevent bank card fraud. Our partner in charge of fraud prevention and/or the “Risks” unit of Loop may also perform checks with the Buyer, by telephone, by e-mail or by post, in order to confirm the Order prior to the Product being sent out; these checks may also include a request for additional elements of evidence. Pursuant to the checks that are performed, Loop may cancel an order if the information provided by the Buyer is deliberately erroneous and/or fraudulent, even after confirmation of the order. In that case, the Buyer shall be informed by e-mail about the measures taken by Loop, which shall put the Product back on sale in the Seller’s account.

21.2 Sending and Delivering Products

A Seller whose Product has been ordered by a Buyer shall receive a notification of this sale by e-mail informing them that the Product must be sent to Loop to check its compliance with its description in the corresponding Product Page. The e-mail shall contain a prepaid postage voucher enabling the Seller to send the Product to Loop free of charge. This prepaid postage voucher shall only be valid for Sellers who reside in the United Arab Emirates, Saudi Arabia, Kuwait, Qatar, Bahrain and Oman. Sellers who reside in countries other than those mentioned above must bear all the costs of shipping, handling and insuring their Product until they reach the compliance checking unit of Loop. The Sellers must secure evidence of dispatching each parcel that is sent to Loop. Sellers should endeavour to send the Products that they sell via the carrier that is allocated to them (after printing out the prepaid postage voucher) within seven (7) business days following the confirmation of the sale. No object should be enclosed other than the Products and the accessories sold with them, in particular no promotional or advertising documentation whatsoever. Loop disclaims any liability towards the Seller in case of damage caused to a Product or loss of a Product during its transit to Loop if the parcel is dispatched without the prepaid voucher. Loop hereby disclaims liability for any damage or loss of the Products until it receives the Products that were sent to it. In case of loss or damage of a Product by the carrier to which the Product was entrusted by the Seller for dispatching to Loop, the compensation due to the Seller shall consist of the compensation offered by the carrier. In order to insure the Products optimally while in transit to Loop, the Seller may take out, at its own initiative and at its own expense, an insurance policy covering loss or damage caused to a Product while in transit to Loop. In that case, the Seller should not use the prepaid voucher sent by Loop. Should Loop not receive the Product within seven (7) business days following confirmation of the sale of the Product, it shall be entitled to cancel the sale of the Product involved and shall notify this to the Buyer.

21.3 Condition of the Products Upon Delivery

The Seller undertakes to only deliver Products that are perfectly clean (i.e. Products that have been cleaned and ironed if need be). In case of deliveries transiting via Loop, Loop shall be entitled to bill the Seller for reasonable costs incurred in cleaning and/or ironing the Products, and shall be entitled to deduct these costs from any moneys that are due to the Seller by Loop. In order to avoid any disputes, the Seller undertakes to take particular care in packaging the Products that they dispatch (for instance, by using opaque envelopes or wrapping reinforced with bubble-wrap and resilient fastenings). The Seller undertakes to retain evidence of sending any parcel that is dispatched, in a safe location, for a period of one month following the send date. 

21.4 Payment to the Seller

The moneys received from the Buyer, after deduction of (i) the Commission due to Loop, (ii) any authentication costs, (iii) the carriage costs, and (iv) any sum of money that remains due to Loop, such as any cleaning and ironing costs, shall be paid across in full to the Seller by Loop after the Compliance Department of Loop have confirmed that the Product complies with the Product Page. In case of a change of the Commissions Scale, any pending offers on the date on which the new Commissions Scale comes into force shall be null and void. However, after delivery of the Product to the Buyer, the Seller must reimburse the moneys received from Loop for the Transaction, immediately upon receiving a request to do so from Loop, and must reimburse any carriage costs to the Buyer, if the Product turns out to be counterfeit or a Product whose sale is prohibited. Should Loop not have paid any moneys to the Seller in connection with the Transaction, the Seller shall not be entitled to claim any payment for a Product that shall have been validly returned by the Buyer or by Loop. The Seller hereby waives any claims over moneys (interest or other) generated by the temporary blockage of any sums taken by Loop as part of the Transaction. Should a Seller want the moneys that they are owed to be paid by bank transfer, a bank transfer shall be made into the bank account designated by the Seller. Loop shall only make bank transfers after the Compliance Department of Loop have confirmed that the Product complies with the Product Page. Should the Seller opt for payment by a bank transfer into their bank account, bank costs may be charged, for instance in the case of accounts domiciled in countries other than the United Arab Emirates. The Seller should check the terms applicable to such transactions with the banking establishment that holds the bank account involved. In case of a claim or complaint by the Buyer, Loop shall be entitled to withhold payment to the Seller until the claim or complaint shall have been resolved. Sellers should note that the moneys that are due to them shall not be credited immediately into their bank account due to processing and handling delays of around five (5) working days (in the case of banks) after the Product is found to be compliant, these delays being subject to fluctuation and being provided for information purposes only. Should a Seller not pay any moneys that are due to Loop, Loop, after bringing this to the attention of the Seller in writing, shall be entitled (i) to offset any moneys that remain due against the moneys that it is supposed to pay across to that Seller, and/or (ii) to impound any Products that are bought or sold by the Seller, until full payment of the moneys that are due to Loop, and/or (iii) to offset as a priority the moneys that it receives as part of a new Transaction against the moneys that remain due, provided that the Seller settles any outstanding balance in order to be able to acquire the new Product that they are planning on buying. In order to receive payments, the Sellers must input their bank account details into their client account, in order for Loop to be able to make a transfer to their bank account. Please note that the family name and the first name of the Seller must correspond to those of the bank account in order for the transfer to be authorised by the bank involved. 

21.5 Advertising of Counterfeit Products or Products Whose Sale is Prohibited on the Site

By physically examining Products prior to sending them to the Buyer, Loop shall make its best efforts to prevent the sale of counterfeit products or of Products whose sale is prohibited (for instance, Products which violate the prevailing laws or regulations or infringe third party rights, such as prototypes (clothes or accessories created prior to production in series), uniforms (clothes or accessories designed for use by the employees of certain brands) or products arising from “sales to employees” or “press sales” whose resale is not authorised by the fashion houses involved. The Sellers warrant and represent that the Products that they put up for sale are not counterfeit and that their sale is not prohibited. However, if in spite of the care taken to physically inspect the Product, a Buyer receives a counterfeit item or a Product whose sale is prohibited, they may return it to Loop in order to secure a refund. Should a counterfeit Product or a Product whose sale is prohibited be discovered, it shall immediately be withdrawn from circulation and the Seller’s account may be suspended temporarily or permanently. Moreover, should a counterfeit Product or a Product whose sale is prohibited be put up for sale on the Site, the Seller of this Product shall bear the risk that this Product might be seized by the appropriate authorities or by the owner of the brand involved, which might impound it or destroy it. The Seller shall then have to personally retrieve the Product in question at their sole risk and expense. Please note that counterfeiting is subject to specific sanctions. Should a counterfeit Product or a Product whose sale is prohibited be nevertheless put up for sale or seized by the appropriate authorities or by the brand that owns the intellectual property rights concerned or by the holder of the rights, after it has been sold, the Transaction shall be cancelled. The Seller must then refund to Loop the moneys that it shall have taken in connection with the sale of the contentious Product and shall have to compensate Loop for any costs incurred by the latter and/or by the Buyer owing to the Seller’s activity; the Buyer shall also be liable for any costs, losses, expenses and damages incurred by Loop in relation to any legal action arising in relation to the contentious Product. In case of doubt over the authenticity of a Product, Loop reserves the right to request from the Seller any and all documents certifying the authenticity of the Product and to suspend the Seller’s account until it has received these documents. Loop shall also be entitled to get in touch with a Seller in order to verify the authenticity of a Product.

22.Transfer of the Ownership of the Product and Associated Risks

The Products shall remain the property of the Seller, or should Loop be itself acting as the seller of its own Products, of Loop, until Loop receives full payment of the Price of the Order from the Buyer, including both capital and ancillary elements (taxes, Authentication Costs, Carriage Costs and any other costs that may be applicable). The transfer of the risks of loss or damage of a Product to the Buyer shall take place upon receipt of the Product by the Buyer or by a third party that the Buyer shall have commissioned to act on their behalf. The Buyer shall therefore bear the risk linked to any damage caused to the Product after it is received.

23. Claims and Returns

Unless as otherwise provided herein, Loop does not allow returns. Any issues regarding claims ought to be reported within three days after determined delivery of the item based off tracking information. Loop shall have final determination regarding the accuracy of item descriptions and has the sole authority to determine whether a refund is or is not warranted. Buyer and Seller understand and agree that they will abide by any final determinations made by Loop in respect to any such issues and returns.

23.1 Non-receipt or Late Delivery of a Product

Should the Buyer not receive the Products within thirty (30) days following the date of the Order, or in the case where Loop is selling its own Products directly on the Site, should the Buyer not receive the Products on the delivery date stated upon placing the Order, the Buyer may cancel the Transaction by emailing our Customer Care team, provided that it shall first have summoned Loop, by the same means, to rectify the situation within a reasonable timescale and provided that delivery shall not have taken place within this additional timescale. Loop shall refund the Buyer within fourteen (14) business days following the date on which Loop receives the email with acknowledgement of receipt informing it about the cancellation of the Transaction. Should the Buyer receive the Products whereas they have already cancelled the Transaction, they must return the Products and Loop undertakes to refund the Price of the Products that are returned, the Authentication Costs, the Carriage Costs (in case of return of the Order as a whole) and the cost of returning the Product to Loop, within fourteen (14) business days following Loop’s receipt of the complete Products in their original condition. In case of cancellation, the Buyer shall be refunded in cash (the moneys being credited to the bank card that the Buyer used to make the payment or to the Buyer’s PayPal account) provided that, in each case, Loop does not suspect that the request for cancellation or for a refund due to total or partial non-receipt of a Product that was ordered was made fraudulently. In the case of a partial cancellation, only the part of the Order that is cancelled shall be refunded in keeping with the foregoing terms.

23.2 Products that do not Comply with their Product Page

Please note that Loop’s involvement in resolving claims or complaints pursuant to a purchase from a Seller is designed to facilitate the procedure and shall not result in Loop being considered a party to the sale. 

23.3 Findings During the Quality Control that is Performed by Loop

Should Loop find that the Products correspond partly to their description, then at the Buyer’s discretion, (i) it shall either negotiate a lower Price with the Seller, or (ii) it shall cancel the sale and shall refund the Buyer. Should the Buyer and the Seller agree over a Price cut, the latter may take the form of a credit note from Loop, a Purchase Voucher or a payment re-credited to the method of payment used by the Buyer. In the case of Products that do not correspond to their description in the Product Page provided by the Seller, products that are counterfeit or whose sale is prohibited, Loop shall cancel the Transaction and shall refund the Buyer. Should the Transaction be cancelled, the Buyer may obtain a cash refund which shall be credited to the method of payment that the Buyer used initially. In the case of a partial cancellation, only the part of the Order that is cancelled shall be refunded in keeping with the foregoing terms.

23.4 Findings During the Quality Control that is Performed by The Buyer

Should the Buyer find that a Product does not comply with its description in the Product Page, the Buyer must contact Loop by e-mail within three (3) calendar days following the date on which they received the Product. The Buyer must explain in what way and to what extent the Product does not correspond to the Product Page and must provide photographs enabling their assertions to be substantiated. Should the claim of non-compliance of the Product with the Product Page appear justified at first sight based on the explanations of the Buyer and the photographs, Loop shall authorise the Buyer to send the Product back. Upon receipt of the Product, Loop shall inspect it to determine whether it is truly non-compliant with the Product Page. If the non-compliance is confirmed, Loop shall refund the Buyer. The refund shall take place by crediting the method of payment that was used by the Buyer to make the initial payment. All Products returned by Buyers due to non-compliance with the Product Page must be returned with the sealed form (label) initially affixed by Loop to the Product upon dispatching it. Should the Buyer receive a counterfeit Product or a Product whose sale is prohibited, they may return the Product to Loop and secure a refund, save in case of fraud on their part.
